TERMS OF USE

1. DEFINITIONS AND INTERPRETATION

1.1. Definitions

In these Terms of Use, unless the context otherwise requires, the following terms shall have the meanings ascribed to them:

  • "Agreement" means these Terms of Use and as further described in article 2 hereof, governing the Napoleon Coins Shop where Napoleon Coins can be converted.
  • "ECK NV" (hereinafter referred to as "Napoleon Games", "Company", "we", "us", or "our") means the legal entity registered in Belgium and having its registered seat at Zeedijk-Albertstrand 509, 8300 Knokke-Heist, RLP 0406.949.939, operating the Website.
  • "Participant", "Player", or "User" refers to any eligible individual who can convert Napoleon Coins per the Agreement and who has a valid player account with Napoleon Games pursuant to the applicable laws and regulations and Napoleon Games’ general terms and conditions that are available on the Website.
  • "Napoleon Coins" (or "Coins") means the virtual points awarded to the Player pursuant to the relevant terms and conditions of particular games of chance where Coins can be won and which may be converted as specified herein.
  • "Website" means www.napoleoncasino.be, including any subdomains or mobile applications operated by Napoleon Games.
  • "Napoleon Coins Shop" means the designated section of the Website where Participants may choose to convert Napoleon Coins.
  • "Force Majeure Event" includes any event beyond the reasonable control of the Company, including but not limited to cyberattacks, regulatory changes, natural disasters, or technical failures.

1.2. Interpretation

  • Words in the singular include the plural and vice versa.
  • References to "writing" include electronic communications.
  • Headings are for convenience only and do not affect interpretation.

2. GENERAL PROVISIONS

2.1. Binding Agreement

By making use of the Napoleon Coins Shop and the Coins, the Participant acknowledges and agrees:

  • To be legally bound by these Terms of Use;
  • To comply with all applicable laws and regulations in Belgium;
  • That the Company reserves the right to amend, suspend, or terminate the Napoleon Coins shop and any functionality, feature or mechanism related thereto at any time.

2.2. Supplemental Agreements

These Terms of Use operate in conjunction with:

  • The General Terms and Conditions of Napoleon Games that are available on this Website;
  • Any applicable contest rules or terms and conditions that respectively govern relevant contests or games of chance or the Website and where Coins can be collected, converted or used;
  • Regulatory requirements imposed by Belgian Gaming Commission.

2.3. Modifications to the Terms of Use

  1. 2.3.1. The Company reserves the exclusive right to modify, suspend, or terminate these Terms of Use including any and all (i) mechanisms, functionalities or features, (ii) contest rules or (iii) terms and conditions governing certain games of chance that lead to the possible collection, conversion and or use of Coins by the Participant, in whole or in part, at its sole discretion, with or without prior notice.
  2. 2.3.2. Any amendments shall be effective immediately upon publication on the Website. Continued participation after such changes constitutes unconditional acceptance of the revised Terms of Use.
  3. 2.3.3. The Company shall not be liable for any losses or inconveniences arising from any modifications, suspension or termination as set out in article 2 hereof.

2.4. Force Majeure

The Company shall not be liable for any failure or delay in performance resulting from a Force Majeure Event, including but not limited to:

  • Governmental actions or regulatory changes;
  • Technical failure, cyberattacks, or server outages;
  • Natural disasters, wars, or pandemics.

3. NAPOLEON COINS: ACQUISITION, USAGE, AND EXPIRATION

3.1. Beta Testing Phase

  1. 3.1.1. For the purpose of expanding the scope of the commercial offer the Company shall conduct a testing phase as further described in Clauses 3.3.3 to 3.3.6 hereof for a duration of 6 weeks which will end at 23:59, 24 January 2026 (the “Testing Phase”). During the Testing Phase, participation will be limited to a restricted number of Users, as determined by the Company in its sole and absolute discretion. For the avoidance of doubt, Players shall have no right to claim participation, and the Company shall have absolute discretion to determine participants and eligibility.
  2. 3.1.2. The Company reserves the exclusive right, at any time and without prior notice, to extend the duration of the Testing Phase, to modify its parameters, or to alter the eligibility criteria applicable to Users’ participation therein.
  3. 3.1.3. Upon completion of the Testing Phase, the Company shall amend these Terms of Use to the extent necessary to reflect the outcome of the Testing Phase prior to its wider implementation and availability to all Users meeting the applicable eligibility requirements.

3.2. Nature of Napoleon Coins

  1. 3.2.1. Napoleon Coins constitute a virtual currency with a monetary value. The value of the Coins is determined as follows: the values will be clearly displayed in the Website.
  2. 3.2.2. Napoleon Coins are:
    • Non-transferable;
    • Non-exchangeable for cash, unless explicitly stated otherwise in these Terms of Use (as defined in article 2 hereof) or on the Website;
    • Subject to forfeiture in cases of abuse or violation of these Terms of Use or any rules as described in article 2 hereof.

3.3. Earning Napoleon Coins

  1. 3.3.1. Napoleon Coins are allocated randomly by participating to contests and games of chance where coins are part of the fabric of the game and subject to the applicable contest rules or terms and conditions of the relevant games of chance or via other mechanics on the Website pursuant to the then relevant terms and conditions.
  2. 3.3.2. Napoleon Games reserves the unilateral right to modify existing collection criteria or introduce additional requirements at any time, without prior notice.
  3. 3.3.3. In addition to the above, Napoleon Coins may also be allocated based on their player activity in online games under specific conditions established solely by Napoleon Games.
  4. 3.3.4. The allocation of Napoleon Coins during the Testing Phase shall be conducted on a limited basis and made available only to a defined percentage of Users, as determined by Napoleon Games in its sole discretion. Participation shall be structured as a testing model, consisting only of:
    target group, whereby Players may earn Napoleon Coins according to turnover thresholds.
    The amount of Napoleon Coins awarded shall be determined based on a formula established by the Company. The applicable Coin amounts and related information shall be displayed to each Player in their dedicated section of the Player Account (each mission section).
    For the avoidance of doubt, the allocation of Napoleon Coins based on Clause 3.3.3 and Clause 3.3.4 above applies exclusively to the designated target group, as described hereinabove, and all other Users shall have no right to claim, request, or otherwise assert participation in this model. Hence all Players not being part of the target group are excluded from the Testing Phase.
  5. 3.3.5. The specific parameters governing the allocation of Napoleon Coins, including but not limited to the minimum turnover thresholds, number of bets, and any other quantitative or qualitative criteria referred to herein, as well as the proportion of Players included within each testing group, shall be determined and may be amended from time to time by Napoleon Coins at its sole and absolute discretion.
  6. 3.3.6. Napoleon Games reserves the right, at any time and without prior notice, to modify, suspend, or terminate any aspect of the Napoleon Coins acquisition process described herein, including but not limited to eligibility criteria, testing parameters, and allocation mechanisms.

3.4. Conversion of Napoleon Coins

  1. 3.4.1. Coins may be converted exclusively in the Napoleon Coins Shop for:
    • Cash on the Participant’s account;
    • A donation to the Foundation against Cancer;
  2. 3.4.3. Conversion Limits:
    • The Company may impose daily, weekly, or monthly limits on Coin conversions.

3.5. Validity of Napoleon Coins

  1. 3.5.1. Unless expressly stated herein, Napoleon Coins remain valid for an indefinite period of time as of their collection by the Player.
  2. 3.5.2. The Company reserves the right to impose another expiration date on Napoleon Coins at a later time. In such cases, Users will receive prior notice and a reasonable period to utilize their accumulated Napoleon Coins.
