Napoleon Social – Terms of Use – 14/04/2025
The following terms ("Terms of Use" or "Terms") describe the terms and conditions governing your access to and use of Napoleon Social ("Napoleon Social") feature provided by Napoleon Games Sports NV and/or ECK NV (Belgium) and as the case may be any of its affiliates ("Napoleon", "We").
Please read these Terms of Use carefully before accessing and/or using Napoleon Social, and if you do not agree with these Terms, do not access and/or use Napoleon Social.
Before accessing and/or using Napoleon Social, you must be legally permitted to access and/or use Napoleon Social and be 21 years of age or older.
We may change these Terms from time to time and, if we make changes to these Terms, we will communicate notices of these changes, such as sending you a notice via Napoleon Social, displaying a notice on our website at www.napoleoncasino.be/nl-be/profile/my-social and/or www.napoleonsports.be/nl-be/profile/my-social ("Website") or updating the date above.
If you do not agree to the amended Terms, you must stop using Napoleon Social.
1. OBJECT
1.1 These Terms govern your access to and use of Napoleon Social and constitute a binding contract between you and Napoleon.
1.2 By accessing and/or using Napoleon Social, you confirm the collection, use and disclosure of your personal data, in accordance with the Privacy Policy and the Napoleon Social Privacy Notice.
1.3 Additional terms may be displayed in certain sections of Napoleon Social and these terms will govern your access and/or use of Napoleon Social as if they were included in these Terms of Use.
2. NAPOLEON SOCIAL SERVICES AND LICENSE
2.1 You acknowledge and agree that we may provide some or all of Napoleon Social's features through third party service providers.
2.2 We are constantly looking for ways in which we can improve the quality of Napoleon Social and, in this regard, the technical configurations, applications, features, functionalities, infrastructure, security, etc. relating to Napoleon Social may be modified or updated periodically. These changes may be made without prior notice to you. If you do not agree to these changes, you must stop using Napoleon Social.
2.3 Through Napoleon Social, and depending on whether you are in the casino or the sports environment, it may be possible to:
2.3.1 Share tickets immediately after placing a bet or from your ticket list (odds will be visible and amounts will not be visible);
2.3.2 Comment, like, share and react on the side of shared tickets;
2.3.3 Search and follow other Napoleon Social users;
2.3.4 Benefit from other features, as will be made available to you from time to time.
2.4 Subject to these Terms of Use, we grant you a limited, non-exclusive, non-transferable, non-sub-licensable and revocable license for your personal and non-commercial use of Napoleon Social on any compatible device that you own or control (the "License").
2.5 Subject to these Terms of Use, the License granted to you does not permit you to sub-license, copy, modify, distribute, duplicate, sell, rent or otherwise transfer Napoleon Social in whole or in part.
2.6 By using Napoleon Social, we may display your username, profile picture, and any information about your actions or connections with other Napoleon Social users alongside or in connection with situations, announcements, offers, and any sponsored content that you watch without any compensation to you.
3. GREAT SOCIAL ACCESS AND USE
3.1 To access and use Napoleon Social with all its features, you must have an active game account ("Napoleon Game Account") registered in accordance with our Terms and Conditions for Casino and/or our Terms and Conditions for Sports.
3.2 In order to access and/or use Napoleon Social, you may be required to provide us with certain information including (but not limited to) your username, your Napoleon Gaming Account password, your name, a brief description of yourself and, you may also be required to provide us with a photo (a profile photo). Details on how we process this personal data can be found in the Napoleon Social Privacy Notice.
3.3 Your Napoleon Social user profile can be, at your choice:
3.3.1 Public (All Napoleon Social users have access to the content created and posted on Napoleon Social – anyone can find your profile);
3.3.2 Private (only followers that you accept are able to see the content that you create and post on Napoleon Social (including, but not limited to, shared tickets), except for text or tickets posted in chats, which are visible to the all users that have access to the respective chats – anyone can find your profile).
3.4 You agree that you are solely responsible for all matters arising from your use of Napoleon Social and for maintaining the confidentiality of your username, account information and other personal data that you may share on Napoleon Social.
3.5 In order to take the best measures to protect your personal data, you must notify us immediately if you become aware of any breach of security of your username or password or any other data.
3.6 You agree that you are solely responsible for any and all measures relating to your Napoleon Social account and acknowledge and agree that we may, at our sole discretion, limit, suspend or block in whole or in part your Napoleon Social account and/or remove or withdraw any content you upload or communicate to Napoleon Social for any reason, including breach of these Terms or any other policies belonging to Napoleon.
3.7 We reserve the right to immediately limit, suspend or block, in whole or in part, your access to or use of Napoleon Social, if we are required or instructed to do so by a competent court, government authority, public agency, or law enforcement agency, regulator, or if there are reasonable grounds to believe that you are violating the provisions of these Terms or accessing or using Napoleon Social in an illegal, fraudulent, abusive, or otherwise unlawful manner applicable, or constitutes a legal risk to Napoleon or poses a threat to the security of Napoleon Social.
4. USER REPRESNTATIONS AND WARRANTIES
4.1 By accessing and/or using Napoleon Social, you represent, warrant and undertake that each of the representations and warranties below is true, accurate and not misleading:
4.1.1 You are 21 years of age or older and have legal permission to accept these Terms of Use;
4.1.2 You have read and understood these Terms and any other applicable Napoleon Social terms;
4.1.3 You have read and understood the Napoleon Social Privacy Notice.
4.1.4 You understand the risks and implications of using Napoleon Social, in particular by communicating inappropriate personal data and have knowledge of how to manage it and are solely responsible for any assessments based on this knowledge;
4.1.5 You understand that it is your responsibility to provide the mobile device, wireless service/data plan and software necessary to install and use Napoleon Social;
4.2 You acknowledge and agree that:
4.2.1 you are solely responsible for the accuracy, content and legality of the information and data you have communicated to us in order to access and use Napoleon Social;
4.2.2 you will not use Napoleon Social for any illegal purpose;
4.2.3 you will not abuse Napoleon Social by creating multiple or duplicate accounts or exploiting any Napoleon Social errors to gain access to unintended advantages;
4.2.4 you will maintain the security and confidentiality of any identification data that allows you to access and/or use Napoleon Social;
4.2.5 you will not access Napoleon Social using another person's account information;
4.2.6 you will not resell the use of Napoleon Social to any third party;
4.2.7 you will behave in such a way that would not harm the reputation of Napoleon, its software, the Website and in general the proper functioning of Napoleon, the software and Website including anything directly or indirectly related thereto.
5. EXCLUSION OF WARRANTIES AND LIMITATION OF LIABILITY
5.1 Access to and/or use of Napoleon Social is solely at your own risk without any express or implied representations and/or warranties from us and our affiliates, business partners, consultants, content providers, administrators, our associates, partners, employees, agents and representatives.
5.2 We do not represent, warrant or assume any liability for any product or service promoted and/or offered by a third party through Napoleon Social.
5.3 We and our affiliates, business partners, consultants, content providers, administrators, associates, partners, employees, agents, subsidiaries and representatives hereby exclude from these Terms of Use all warranties, whether express or implied, including but not limited to limit to, any implied warranties of merchantability, fitness for a particular purpose, accuracy, durability, title and non-infringement. Neither Napoleon nor its affiliates, business partners, consultants, content providers, administrators, associates, partners, employees, agents, subsidiaries and representatives make any representations or warranties as to the completeness, security, safety, quality, accuracy or the availability of Napoleon Social or its content. Without limiting the foregoing, neither Napoleon nor its affiliates, business partners, consultants, content providers, administrators, associates, partners, employees, agents, subsidiaries and representatives represent or warrant that Napoleon Social or its content will be accurate , secure, error-free or uninterrupted, that defects will be corrected, that the website or server that makes Napoleon Social available is free of viruses or other dangerous components, or that Napoleon Social or its content will meet your needs or expectations.
5.4 To the fullest extent permitted by applicable law, in no event shall Napoleon or its affiliates, business partners, consultants, content providers, administrators, associates, partners, employees, agents, subsidiaries and representatives be liable for any claims, damages, liabilities, losses, costs or expenses of any kind, regardless of whether Napoleon or its affiliates, business partners, consultants, content providers, administrators, associates, partners, employees, agents, subsidiaries and representatives have been advised of the possibility such damages, liabilities, losses, costs or expenses, arising out of or in connection with, but not limited to: access to and/or use of Napoleon Social; any conduct or content of any third party; any illegal access to and/or use of Napoleon Social; the operation of Napoleon Social, as well as any deficiency, delays, interruptions or unavailability of Napoleon Social, or any product offered in connection with Napoleon Social.
5.5 To the fullest extent permitted by applicable law, Napoleon and its affiliates, business partners, consultants, content providers, administrators, associates, partners, employees, agents, subsidiaries and representatives are not liable for any defamatory, offensive, illegal conduct or otherwise of the content of any third party or service provider, advertising agency or other user of Napoleon Social. In any event shall Napoleon’s liability be limited to proven direct damages within the coverage provided for in its insurance policies and limited to an amount of five thousand (5,000) EUR. Moreover and for the avoidance of doubt, Napoleon shall not be liable for any indirect or consequential damages or losses howsoever arising.
6. COMPENSATIONS
6.1 To the fullest extent permitted by applicable law, you will indemnify, defend and hold harmless us and our affiliates, business partners, consultants, content providers, administrators, associates, partners, employees, agents, subsidiaries and representatives from and against any and all claims, damages, liabilities, losses, liabilities, costs, debts and expenses (including attorneys' fees and expenses) arising out of or in connection with: (i) your access to or use of Napoleon Social by or on your behalf; (ii) your violation of these Terms and/or the Privacy Policy and/or any other applicable terms and conditions, laws or regulations; and/or (iii) your violation of any rights of any other person or entity, including, but not limited to, any copyright, proprietary or privacy rights; and/or (iv) any claim that your use of Napoleon Social has caused harm to a third party.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 Napoleon and its licensors own (unless specifically stated otherwise) Napoleon Social and its contents, including patents, copyrights, trade secrets, trademarks, show-how, know-how and any other Belgian or international intellectual property rights over them.
8. FORCE MAJEURE
8.1 We will not be liable to you or any third party for failure to provide you with Napoleon Social or its content in connection with any force majeure event, including but not limited to electrical failure, telecommunications failure , hardware, software or other utilities, software errors or defects, earthquakes, storms, floods, fires or other events, embargoes, social unrest, acts or orders of governments, acts of terrorism or war, technological changes, interest rate changes or other monetary situations, pandemics and epidemics. Our rights under this clause are without prejudice to any other rights we may have under applicable law in respect of force majeure events and their consequences.
9. APPLICABLE LAW AND DISPUTE RESOLUTION
9.1 Any dispute, whether contractual or extracontractual, concerning the Terms, Napoleon, Napoleon Social, its use or otherwise shall be governed exclusively by Belgian law.
9.2 In the event the relevant parties would fail to reach an amicable settlement, the dispute will be submitted to the exclusive jurisdiction of the competent courts where Napoleon has its registered office.
9.3 If these Terms and Conditions are translated into another language, the Dutch version shall prevail in the case of conflict between the translation and the Dutch version.
10. TERMINATION
10.1 These Terms come into force on the date you access and/or use Napoleon Social and, unless otherwise stated in these Terms, the Terms and/or the License will remain in effect until the date you stop using Napoleon Social, or until the date on which you cease to comply with these Terms or until the date on which Napoleon terminates the License, whichever is sooner.
10.2 We reserve the right to modify, suspend or discontinue Napoleon Social at any time without notice, including but not limited to Napoleon Social's features and functionality and related services.
10.3 Upon termination, you will immediately cease all access to and/or use of Napoleon Social and, to the extent not prohibited by applicable law, all of your rights under these Terms of Use will immediately cease.
10.4 To the fullest extent permitted by applicable law, Clause IV (USER REPRESENTATIONS AND WARRANTIES), Clause V (EXCLUSION OF WARRANTIES AND LIMITATION OF LIABILITY), Clause VI (INDEMNIFICATION), Clause IX (APPLICABLE LAW AND DISPUTE RESOLUTION), Clause X (TERMINATION ), will continue to apply in accordance with their terms.
11. GENERAL PROVISIONS
11.1 These Terms and other documents that may be published from time to time on the Website and/or Napoleon Social constitute the entire agreement between you and Napoleon regarding access to and use of Napoleon Social.
11.2 If these Terms are in contradiction with the Website or any other document periodically published on the Website and/or Napoleon Social, these Terms will prevail.
11.3 If any provision of these Terms shall be deemed void, invalid, illegal or unenforceable, then that provision shall be limited or eliminated to the minimum extent necessary, and the remainder of the provisions of these Terms of Use shall remain in full force and effect.
11.4 You may not transfer your rights and obligations under these Terms of Use without our consent.
11.5 Our rights and obligations may be assigned to other persons with or without notice to you.
11.6 Napoleon's failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
11.7 Except as otherwise provided in these Terms, these Terms do not confer any rights on any third party.
